TI-Korea-KEITI Memorandum of Understanding

Korea Environmental Industry and Technology Institute (KEITI) and Transparency International Korea (TI-K) (hereinafter “Two Parties”) have agreed to enter into this Agreement on Cooperation in the Practice of Anti-Corruption and Transparency to promote sustainable development of each Party and promise to create a transparent society based on mutual endeavors.

Article 1 – PURPOSE

The purpose of this Agreement is to implement an advanced transparency policy based on the cooperation of the two parties, aid KEITI becomes an advanced transparent organization through anti-corruption activities, and enhance national competitiveness by realizing a transparent administrative culture.

Article 2 – TASKS

The two parties hereby agree to cooperate in the undertaking of the following tasks;

  1. Reinforcing Anti-Corruption Activities and Raising Transparency
  2. Cooperation in the advancement of KEITI’s Anti-corruption system
  3. Aiding activities and education for raising KEITI employee’s transparency rate
  • Establishing a Transparent and Moral Management
  • Information exchange on education and training for KEITI’s establishment of transparent and moral management
  • Aiding activities for KEITI to faithfully execute its social responsibility
  • Sustainable Development
  • Promotion of cooperation with civil society for an anti-corruption system, including TI-K
  • KEITI’s interest and participation in TI-K’s work
  • Creating an exemplary cooperation model regarding citizens and society

Article 3 – GOOD FAITH  

Each Party shall exercise good faith in its dealings with the other Party hereto and in achieving the purpose of this Agreement.

Article 4 – TERM

The term of this Agreement shall commence as of the effective date and shall continue for two years. This Agreement may be renewed before its expiry date through a written mutual agreement of two parties.

Article 5 – INTERPRETATION AND AMENDMENT

  1. Subjects that are not specified in this Agreement or susceptive to interpretation shall be determined by consultation between the two parties.
  2. This Agreement may be amended upon a written mutual Agreement of two parties if necessary.

Article 6 – WITHDRAWAL AND TERMINATION  

  1. This Agreement may be withdrawn or terminated if the objective of this Agreement could not be attained due to a lack of cooperation of either Party.
  2. In the event of withdrawal or termination of this Agreement based on clause 6-1, a party may withdraw from this Agreement by giving the other Party at least one month’s notice, in writing, of its intention to withdraw from this Agreement.

Article 7 – CONFIDENTIALITY

The two Parties agree that each shall treat all information provided by a Party to others as confidential. The information shall not be disclosed to a 3rd party without prior consent or used for purposes other than the activities contemplated in this Agreement. This section shall survive the termination of this Agreement for any reason.

In witness whereof, the two Parties have caused two copies of this Agreement to be executed and affixed with their names and seals, each of which shall be kept by the respective parties.
